Terms & Conditions


  1. Purpose:
    The general terms and conditions of sale described below detail the rights and obligations of 17Sud Manco and its customer in the context of the sale of the goods and/or services listed in the quote or invoice.
    Any service provided by 17Sud Manco therefore implies the buyer's unconditional acceptance of these general terms and conditions of sale.
     
  2. Price:
    The prices of the goods sold are those in effect on the day the order is placed. They are expressed in Pacific francs and calculated excluding taxes. Consequently, they will be increased by the VAT rate and transport costs applicable on the day the order is placed. 
    17Sud Manco reserves the right to modify its prices at any time. However, it undertakes to invoice the goods ordered at the prices indicated when the order is recorded.

  3. Discounts and rebates:
    The proposed rates include the discounts and rebates that 17Sud Manco may grant based on its results or the buyer's assumption of certain services. 
    No discount will be granted in the event of early payment.

  4. Payment terms:
    Orders are paid: either by check, or by bank transfer or in cash.
    The buyer agrees to pay a deposit of 65% of the total amount of the invoice upon validation of the quote.

  5. Late payment:
    In the event of total or partial non-payment of the goods delivered on the day of receipt, the buyer must pay 17Sud Manco a late payment penalty equal to three times the legal interest rate. 
    The legal interest rate used is that in effect on the day of delivery of the goods. 
    As of January 1, 2015, the legal interest rate will be revised every 6 months (Order No. 2014-947 of August 20, 2014). 
    This penalty is calculated on the TIC amount of the amount remaining due, and runs from the due date of the price without any prior formal notice being necessary. 
    In addition to late payment penalties, any amount, including the deposit, not paid on its due date will automatically result in the payment of a fixed penalty of 5,000 FCFP due as recovery costs (Articles LP 410-6 and A 400-2 of the Competition Code).

  6. Termination clause:
    If within fifteen days following the implementation of the "Late payment" clause, the buyer has not paid the remaining amounts due, the sale will be automatically terminated and may give rise to the allocation of damages to the benefit of 17Sud Manco.

  7. Retention of title clause:
    17Sud Manco retains ownership of the goods sold until full payment of the price, in principal and accessories. As such, if the buyer is subject to recovery or liquidation, 17Sud Manco reserves the right to claim, as part of the collective procedure, the goods sold and remaining unpaid.

  8.  Delivery:
    ​ Delivery (if any) is made: 
    . either by direct delivery of the goods to the buyer; 
    . or by sending a notice of availability in store to the attention of the buyer;
    . or at the place indicated by the buyer on the order form.

  9.   Force majeure:
    The liability of 17Sud Manco cannot be implemented if the non-performance or delay in the performance of one of its obligations described in these general terms and conditions of sale results from a case of force majeure. In this respect, force majeure means any external, unforeseeable and irresistible event within the meaning of Article 1148 of the Civil Code.

  10. Competent Court:
    Any dispute relating to the interpretation and execution of these general terms and conditions of sale is subject to French law. In the absence of an amicable resolution, the dispute will be brought before the Commercial Court of Papeete.
